1. Acceptance of Terms

By accessing or using NevPOS software and services ("Service") provided by Nevrio Technology Private Limited ("NevPOS", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms apply to all users, including restaurant owners, staff members, and anyone who accesses the Service.

2. Description of Service

NevPOS is a cloud-based restaurant point-of-sale (POS) software that provides:

• Order management and billing
• GST-compliant invoicing
• Menu and inventory management
• Staff management and role-based access
• Reporting and analytics
• Multi-platform access (web, desktop, mobile)

3. Account Registration

To use NevPOS, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your staff understand their responsibilities

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.

4. Subscription and Payment

4.1 Pricing

NevPOS offers subscription plans with monthly or annual billing. Current pricing is available on our website. Prices are subject to change with 30 days notice.

4.2 Free Trial

We offer a 14-day free trial for new users. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

4.3 Payment Terms

• Subscription fees are billed in advance
• All fees are in Indian Rupees (INR) and include applicable GST
• Payments are processed through secure third-party providers
• Failed payments may result in service suspension

5. Acceptable Use

You agree to use NevPOS only for lawful purposes and in accordance with these Terms. You must NOT:

• Use the Service for any illegal activity
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or copy our software
• Share your account credentials with unauthorized parties
• Use the Service to transmit malware or harmful content
• Violate any applicable laws, including GST and FSSAI regulations

6. Data Ownership

Your Data: You retain ownership of all data you enter into NevPOS, including menu items, orders, customer information, and invoices. You can export your data at any time.

Our Service: NevPOS retains all rights to the software, including its code, design, features, and documentation. You are granted a limited, non-exclusive license to use the Service during your subscription.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice)
• Emergency repairs or security updates
• Factors beyond our control (internet outages, natural disasters)

NevPOS includes offline mode functionality to help mitigate service interruptions.

8. Termination

8.1 By You

You may cancel your subscription at any time. Your access will continue until the end of your billing period. No refunds for partial periods unless covered by our refund policy.

8.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to our Service or other users

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEVPOS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Business interruption
• Errors in GST calculations (you are responsible for verification)

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. YOU ARE RESPONSIBLE FOR VERIFYING GST CALCULATIONS AND COMPLIANCE WITH APPLICABLE LAWS.

11. Indemnification

You agree to indemnify and hold harmless NevPOS, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law
• Any third-party claims related to your business

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
